These Terms and Conditions (the "Terms") govern access to and use of the caching platform, websites, dashboards, APIs and related services made available at apicache.co.uk and edge.apicache.co.uk (together, the "Service") provided by API CACHE ("API CACHE", "we", "us" or "our"). By creating an account or using the Service you ("you" or the "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.
01The Service
API CACHE provides a caching proxy for third-party application programming interfaces ("Origin APIs"). You register Origin APIs, direct your traffic to endpoints we provide, and we store and serve eligible responses from our infrastructure in accordance with the configuration you set (including time-to-live rules, route patterns and purge instructions).
We may improve, extend or modify the Service from time to time. Where a change materially reduces the core functionality of a paid plan, we will give you at least 30 days' notice.
02Accounts and eligibility
- You must provide accurate account information and keep it current.
- You are responsible for all activity under your account and for safeguarding credentials and API tokens issued to you. You must notify us promptly at security@apicache.co.uk of any suspected unauthorised use.
- The Service is offered to businesses and professional users. You confirm you are entering into these Terms in the course of a trade, business or profession.
03Your responsibilities regarding Origin APIs
You control what is cached. You warrant that, for each Origin API you register:
- you hold a valid right or licence to access that Origin API and to store and re-serve its responses within your organisation;
- your use of the Service with that Origin API does not breach the Origin API provider's terms of service or any applicable law;
- any credentials you place in the vault are yours to use and share with us for the purpose of fetching responses on your behalf.
We honour origin cache directives by default; overriding them for a route is your decision and your responsibility.
04Acceptable use
You must not use the Service to:
- store or distribute unlawful, infringing or malicious content;
- probe, scan or test the vulnerability of the Service other than under a responsible disclosure or agreed penetration-testing arrangement;
- resell the Service as a standalone caching product without our prior written agreement;
- interfere with the integrity or performance of the Service or other customers' use of it, including deliberate miss-flooding or key-space exhaustion;
- circumvent metering, quotas or plan limits.
05Plans, fees and payment
- Fees are as published at apicache.co.uk/pricing or as agreed in an order form. All fees are exclusive of VAT, which is added where applicable at the prevailing rate.
- Metered usage is calculated from our records of cached calls served and payload size bands, which are authoritative absent manifest error. Origin misses are not billable.
- Subscription fees (including the Business Flat plan at £150 per month plus VAT) are billed monthly in advance; metered fees are billed monthly in arrears. Payment is collected by card or, for Enterprise plans, by invoice on 30-day terms.
- We may suspend the Service for accounts with undisputed overdue amounts after 14 days' written notice.
- Prices may change with at least 30 days' notice, effective from your next billing cycle.
06Your data and licences
As between you and API CACHE, you retain all rights in the requests you send and the responses we cache for you ("Customer Data"). You grant us a limited, non-exclusive licence to store, encrypt, transmit and serve Customer Data solely to provide the Service. We do not parse, mine or profile the content of cached response bodies; operational analytics are derived from metadata only.
07Security
We implement technical and organisational measures appropriate to the nature of the Service, including encryption in transit (TLS 1.3) and at rest (AES-256-GCM with per-tenant keys), structural tenant isolation, scoped revocable tokens and audit logging, as described on our website. No service can be guaranteed to be absolutely secure, and you remain responsible for your own systems, credentials and the appropriateness of caching any given data.
08Service levels and support
Uptime commitments, where included in your plan, are set out on the pricing page. Service credits are your sole and exclusive remedy for failure to meet an uptime commitment. Planned maintenance will be notified in advance where reasonably practicable.
09Suspension
We may suspend some or all of the Service immediately if we reasonably believe: (a) your use breaches clause 3 or 4; (b) suspension is necessary to protect the Service, other customers or third parties; or (c) we are required to do so by law. We will restore the Service as soon as the grounds for suspension are resolved.
10Term and termination
- These Terms apply from your first use of the Service and continue until terminated.
- You may cancel at any time from the dashboard; paid plans end at the close of the current billing period and are not refunded pro rata unless required by law.
- Either party may terminate immediately for material breach not cured within 14 days of written notice, or on the other party's insolvency.
- On termination we will make cached configuration exportable for 30 days, after which Customer Data is deleted from active systems and expires from backups on their normal rotation.
11Intellectual property
The Service, including its software, design, documentation and the API CACHE name and marks, is owned by API CACHE or its licensors. No rights are granted except as expressly set out in these Terms. Any feedback you provide may be used by us without restriction or obligation.
12Warranties and disclaimers
The Service is provided on an "as is" and "as available" basis. Except as expressly stated in these Terms, all conditions, warranties and representations, express or implied (including as to satisfactory quality and fitness for purpose), are excluded to the fullest extent permitted by law. We do not warrant that cached data will be free of staleness within the freshness rules you configure, nor that any particular cost saving will be achieved.
13Liability
- Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.
- Subject to the above, neither party is liable for loss of profits, revenue, anticipated savings, goodwill, or indirect or consequential loss.
- Subject to the above, each party's total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the fees paid or payable by you for the Service in that period (or £100, if greater).
14Indemnity
You will indemnify us against losses, costs and claims arising from your breach of clause 3 (Origin API rights) or clause 4 (Acceptable use), except to the extent caused by our own breach of these Terms.
15Confidentiality
Each party will keep the other's confidential information secret, use it only to perform under these Terms, and protect it with at least the care it applies to its own confidential information. This clause does not apply to information that is public without breach, already lawfully held, independently developed, or required to be disclosed by law.
16General
- Changes to these Terms. We may update these Terms; material changes will be notified at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
- Assignment. You may not assign these Terms without our consent, not to be unreasonably withheld. We may assign in connection with a merger, acquisition or sale of assets.
- Entire agreement. These Terms, together with the Privacy Policy and any order form, are the entire agreement between the parties in relation to the Service.
- Severance. If any provision is found unenforceable, the remainder continues in full force.
- Governing law. These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
